Position OverviewThe Manager – Merchant Banking will be responsible for originating, structuring, and executing merchant banking transactions, including equity/debt fundraising, IPOs, rights issues, M&A advisory, and other corporate finance activities. The role requires strong knowledge of SEBI regulations, capital markets, financial structuring, and client relationship management. Key Responsibilities1. Transaction Origination & Execution Manage end-to-end execution of merchant banking assignments such as IPOs, FPOs, Rights Issues, Buybacks, Open Offers, Delistings, QIPs, and Private Placements. Prepare detailed financial models, valuation reports, information memoranda, and transaction documents. Liaise with regulators (SEBI, Stock Exchanges, ROC) and intermediaries (lawyers, auditors, registrars, bankers) for smooth execution. 2. Client & Relationship Management Identify, develop, and manage relationships with corporates, investors, and other stakeholders. Advise clients on optimal capital-raising strategies and compliance with regulatory requirements. Support in cross-selling financial products and services to clients. 3. Regulatory Compliance & Documentation Ensure strict adherence to SEBI (Merchant Bankers) Regulations and other applicable laws. Oversee preparation and filing of offer documents, due diligence certificates, and compliance reports. Stay updated with changes in capital market regulations and industry best practices. 4. Team Leadership & Coordination Guide junior team members in financial analysis, research, and documentation. Coordinate with internal departments including legal, compliance, and research. Ensure timely delivery of mandates and high-quality client service. Skills: Strong knowledge of SEBI regulations and capital market products. Expertise in financial modeling, valuations, and deal structuring. Excellent communication, presentation, and negotiation skills. Strong networking and client relationship management abilities. Ability to lead transactions independently and manage multiple assignments. Key Performance Indicators (KPIs) Number and value of transactions originated and executed. Client satisfaction and repeat mandates. Timeliness and accuracy of regulatory compliance and documentation. Contribution to revenue and profitability of the merchant banking division. Development and mentoring of junior team members.
