Key Responsibilities Corporate Governance: Advise the board and senior management on corporate governance best practices and ensure adherence to all statutory requirements. Meeting Management: Organize board, committee, and annual general meetings (AGMs); prepare agendas, distribute meeting notices, and maintain accurate minutes. Record Keeping: Maintain statutory books and registers, such as those for members, directors, and secretaries, and ensure accurate records are kept. Regulatory Compliance: Monitor changes in relevant legislation and the regulatory environment, and take appropriate action to ensure the company complies with all applicable laws and regulations. Liaison: Act as a point of contact with external bodies, including auditors, legal counsel, and regulatory authorities like the Registrar of Companies (ROC) or Securities and Exchange Board of India (SEBI). Shareholder Communication: Manage communication with shareholders, handling inquiries, and ensuring they receive timely and accurate information. Reporting: Prepare and file company returns and reports with regulatory bodies and oversee the conduct of secretarial audits.
