Job Title: Associate Company Secretary Location: Bangalore, India Reports To: CEO/Board of Directors Job Summary: The Company Secretary will play a crucial role in ensuring the startup adheres to statutory and regulatory requirements while maintaining high standards of corporate governance. This role involves managing the company’s legal and compliance matters, advising the board on governance issues, and ensuring effective communication between the board, management, and shareholders. Key Responsibilities: Advise the board on corporate governance best practices. Ensure compliance with the Companies Act, SEBI regulations, and other relevant laws. Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities. Compliance: Develop and oversee the implementation of the company’s compliance program. Monitor and report on compliance with regulatory requirements and internal policies. Conduct regular audits and assessments to ensure compliance with laws and regulations. Liaise with regulatory bodies such as SEBI and the Ministry of Corporate Affairs (MCA). Legal: Provide legal advice to the board and management on corporate matters. Draft, review, and negotiate contracts, agreements, and other legal documents. Manage litigation and disputes involving the company. Ensure the company’s intellectual property is protected. Risk Management: Identify and assess potential risks to the company. Develop and implement risk management strategies and policies. Report on risk management activities to the board. Qualifications: Qualified Company Secretary (CS) certification from the Institute of Company Secretaries of India (ICSI) is mandatory for this post. Fresher - Associate CS are welcomed with equivalent knowledge of 2 years of experience in a similar role, preferably in a startup environment. In-depth knowledge of corporate governance, compliance, and legal matters. Excellent organizational, communication, and interpersonal skills. Strong attention to detail and ability to work under pressure. Skills and Competencies: Strong understanding of corporate law and regulatory requirements in India. Ability to manage multiple tasks and prioritize effectively. High level of integrity and ethical standards. Proficiency in using legal and compliance management software. Adaptability and willingness to work in a dynamic startup environment. Working Conditions: Full-time position on sight. Occasional travel may be required. Ability to work flexible hours, including evenings and weekends, as needed.
