This role requires strong attention to detail, high integrity, and the ability to coordinate effectively with the Board, regulators, and internal stakeholders. Key Responsibilities Board & Governance Support Assist in organizing Board, Committee, and General Meetings, including preparation of agendas, notices, presentations, and minutes. Draft and review Board Resolutions, policies, and governance-related documentation. Ensure effective communication with directors, shareholders, and key stakeholders. Compliance & Regulatory Management Handle statutory filings and submissions with MCA, SEBI, Stock Exchanges, RBI, and other authorities. Maintain and update statutory registers, records, and filings as per applicable laws. Monitor regulatory updates and advise management on implications for the organization. Advisory & Confidential Support Provide guidance on Companies Act, SEBI Listing Regulations, FEMA, and corporate law compliance. Liaise with auditors, consultants, and legal advisors for compliance matters. Manage confidential information and sensitive records with professionalism. Strategic & Operational Assistance Assist in corporate restructuring, mergers, acquisitions, and due diligence processes. Contribute to the preparation of the Annual Report, Director’s Report, and Corporate Governance Report. Act as a bridge between the Board and management teams on secretarial matters. Qualifications & Skills Required Qualified Company Secretary (CS); LLB preferred. 5–8 years of relevant experience in corporate secretarial, governance, and compliance functions. Strong knowledge of Companies Act, SEBI, FEMA, and related corporate laws. Excellent drafting, communication, and stakeholder management skills. High level of integrity, accuracy, and confidentiality. Personal Attributes Proactive and detail-oriented with strong organizational skills.
