About the job: Position: Associate - Corporate Law As an Associate in our Corporate Law practice, you will work closely with clients on a broad range of matters, providing strategic legal advice and execution support. Key responsibilities: 1. Advisory and execution support for corporate transactions. 2. Drafting, reviewing, and negotiating legal documents. 3. Conducting legal research and preparing advisory notes. 4. Managing compliance and advising on risk mitigation. 5. Proficient in the Companies Act, FEMA, SEBI Regulations, and RBI Guidelines. 2. Knowledge of relevant Income Tax Act provisions (capital gains, corporate valuation, restructuring, cross-border & non-resident taxation). 3. Understanding of GST implications on business and asset transfers. 4. Strong contract drafting skills. 5. Expertise in investments & fund-raising transactions, mergers/demergers/acquisitions, joint ventures, and strategic alliances. 6. Experience with corporate restructurings, private equity & venture capital deals, and cross-border transactions. 7. Skilled in foreign investment compliance, due diligence (legal, regulatory, contractual), and drafting/negotiation of transaction documents.
