Job Description Company Secretary (CS) IPO Readiness About the Role We are preparing for an Initial Public Offering (IPO) and are looking for an experienced and agile Company Secretary who can anchor our governance framework and ensure we meet every regulatory expectation with confidence and clarity. This role calls for someone who understands the rhythm of compliance, documentation, and investor transparency especially during the IPO journey. Key Responsibilities IPO -Specific Responsibilities Assist in end-to-end IPO preparation including due diligence, drafting, and coordination with merchant bankers, legal advisors, auditors, and regulators. Ensure timely compliance and documentation as per SEBI (ICDR) Regulations, LODR requirements, and other IPO-related guidelines. Support preparation of DRHP/RHP and related filings. Oversee corporate governance structuring, board composition requirements, and policy frameworks needed pre-IPO. Assist in building internal systems for disclosure, reporting, insider trading compliance, and investor communication. Regular Secretarial & Compliance Responsibilities Manage Board Meetings, Committee Meetings, and General Meetings notices, agendas, minutes, and statutory filings. Maintain statutory registers and ensure accurate, timely submissions with MCA, SEBI, and Stock Exchanges (post-listing). Monitor evolving regulations and brief leadership on key implications. Coordinate with auditors, consultants, regulators, and internal teams for seamless compliance functioning Handle share-related matters and support investor relations activities. Required Qualifications & Skills Member of ICSI with minimum 3 years of post-qualification experience, ideally in a listed company or pre-IPO environment. Strong understanding of Companies Act, SEBI Regulations, ICDR guidelines, Secretarial Standards, and corporate governance norms. Exceptional drafting, coordination, and regulatory communication skills. Ability to multitask under timelines typical of IPO processes.
