Role & responsibilities Ensure the company complies with legal, statutory, and regulatory requirements. Maintain and update the companys statutory registers and records. Advise the board on corporate governance best practices. Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws. Organize and prepare agendas for board meetings, committee meetings, and annual general meetings (AGMs). Take minutes of meetings and circulate them to relevant stakeholders. Assist in drafting resolutions, notices, and reports. Act as a liaison between the board, shareholders, and regulatory authorities. Prepare and file necessary returns with the Registrar of Companies (ROC), SEBI, and other statutory bodies. Maintain proper records of board decisions, contracts, and company policies. Ensure timely submission of financial statements and annual reports. Monitor changes in corporate laws and advise management accordingly. Ensure adherence to internal policies and risk management frameworks. Assist in drafting and reviewing legal contracts, agreements, and policies. Facilitate communication between the company, shareholders, regulators, and government authorities. Promote ethical business practices and transparency within the organization. Qualifications & Skills: Qualified Company Secretary (CS) from ICSI. Minimum 5 years of experience in corporate governance, compliance, and secretarial functions. Strong knowledge of corporate laws, SEBI regulations, and financial compliance. Excellent written and verbal communication skills. High attention to detail and strong organizational skills. Ability to manage confidential information with discretion.

PURPOSE: To increase market share of drilling products and services. Drive increased customer loyalty throughout the designated region. JOB DUTIES: The international sales manager is responsible for the sale of REL machines and parts to customers in the designated region. Leads a team typically comprised of technical support, application experts, and product support field personnel to achieve goals. Meet/Exceed Business Plan Sales and Market Share targets for all machines and work tools sold into the specific geographical regions Responsible for selling the house” (integrated solutions) and assist in merchandising dealer service Develop Marketing Plans to Achieve BP for Machines, Rental, Parts & Work Tools Oversee service goodwill spending on all products within industry segment Ensure customer satisfaction through management of product and commercial issues Leads service tech reps for focus on quality to achieve key metrics related to Continuous Product Improvement (CPI) and service capability. Report on competitive activities including machine & work tools competitive pricing (Lost Sales Reporting). Develop relevant reports on trends required to support necessary Business Reviews. Sets objectives, sales forecasts, objectives, work plans, and budgets Applicable Matrix: Business Plan Achievement Sales Growth Market Share improvement Forecast Accuracy for designated region - both Business Plan and Rolling Forecasts Customer Satisfaction Participation and Closure Rates BACKGROUND/EXPERIENCE: The position requires knowledge of mining industry in Southeast Asia / Southern America and Africa region. Knowledge and experience in handling customer complaint, warranty practices and procedures. Broad knowledge of mining industry and with experience in selling to mining companies, contractors and dealers in designated regions and strong understanding of dealers as well as customers is also required. The position requires Engineering Degree in Mechanical, Mining, Electrical MBA with specialization in Marketing – Desirable. 7 to 10 years in B2B sales experience within mining industry. Excellent interpersonal skills are required to deal with sensitive issues, develop others, or persuade others inside and outside the department to take specific action.
