Key Responsibilities 1. Employee-Related Legal Matters Manage employee discipline cases, misconduct investigations, show-cause notices, and domestic enquiries as per labour law guidelines. Advise HR on legally compliant processes for termination, suspension, warnings, grievance handling, and dispute resolution. Ensure adherence to the Shops & Establishments Act , Standing Orders , and all relevant labour law provisions. Handle employee disputes, labour court matters, settlements, and legal notices. Review and ensure legal compliance of HR policies, employee handbooks, POSH policies, and the company Code of Conduct. 2. Labour Law & Statutory Compliance Stay abreast of all new Labour Codes, amendments, notifications, and government circulars. Ensure compliance with: Payment of Wages Act Minimum Wages Act Gratuity Act Bonus Act Maternity Benefits Act Industrial Disputes Act PF, ESIC & PT (legal aspects) Manage labour inspections, statutory audits, and regulatory communications with authorities. Prepare and maintain labour law compliance records for audit readiness. 3. Company Law Compliance (Limited & Listed Company) Ensure full compliance under the Companies Act, 2013 , and related rules. Work closely with the Company Secretary for ROC filings, drafting resolutions, maintaining registers, and statutory documentation. Support the execution of Board Meetings, Committee Meetings, AGM/EGM, and related corporate governance processes. Maintain accurate corporate records and ensure legal adherence for a listed entity. 4. SEBI & Listed Entity Regulations Ensure compliance with SEBI (LODR) , Insider Trading Regulations, and relevant disclosure requirements. Prepare and support filings, disclosures, reports, and submissions to stock exchanges. Maintain and update insider trading records, UPSI policies, and audit-related documentation. Liaise with regulatory authorities and auditors for SEBI-related matters. 5. Contract Drafting & Management Draft, review, and negotiate a wide range of legal agreements including: Vendor & supplier agreements Employment contracts NDAs Lease agreements Service-level agreements MoUs & commercial contracts Ensure contracts sufficiently mitigate risk and align with legal and operational standards. Maintain a centralized record of all agreements, renewals, and contract tracking systems. 6. Litigation & Legal Coordination Manage all litigation matters related to the company—civil, commercial, labour, and property-related cases. Coordinate with external legal counsel, prepare briefs, and oversee case progress. Draft responses to legal notices, complaints, statutory communications, and ensure timely submissions. Maintain litigation MIS and regularly update senior management. 7. Regulatory Updates & Compliance Monitoring Monitor and interpret new legal updates, amendments, regulatory guidelines, and compliance requirements. Train and guide internal stakeholders on legal changes affecting operations. Develop and implement legal SOPs, risk mitigation measures, and compliance frameworks. 8. Licenses, Permits & General Company Compliance Manage issuance, renewal, and compliance of all company licences and statutory registrations. Ensure the organization adheres to all local, state, and national legal requirements. Liaise with government departments, authorities, and regulatory bodies when required. Required Skills & Competencies In-depth knowledge of Companies Act, Labour Laws, SEBI LODR, Corporate Governance & Regulatory Compliance . Strong legal drafting skills for agreements, notices, and corporate documents. Experience managing employee-related legal cases and HR legal procedures. Excellent communication, negotiation, and advisory abilities. High level of integrity, confidentiality, and professional judgment. Ability to multitask, prioritize, and work independently under deadlines. Qualifications LLB / LLM from a recognized institution. 4–10 years of experience in corporate legal roles, preferably within a listed or limited company
