Job Title: Head of Legal Job Summary As a head of Legal to provide professional legal advice, legal leadership, strategy and risk management through knowledge experience and help develop compliance systems and processes for all operations and all areas of the business in conjunction with functional and business leaders in the countries and with appointed external legal advisors. To ensure that all operations in various geographies comply with the law. Key Deliverables To provide and set strategic direction, sound balanced legal advice on a wide range of corporate commercial matters. Accountability for corporate compliance and legal issues. Oversight for various legal regulatory and government aairs related matters. Being at the forefront of related policy development. To provide guidance, advice on product developments and approval on marketing claims and marketing materials in various geographies. Review and participate in the negotiation review and approval of material contracts. To proactively ensure compliance in all areas of laws and contractual agreements and have preventive measures in place. To ensure legality of all signicant contracts entered, in particular regarding third party contractors, distributors, purchasing, employment, compensation etc. To advise on employment related issues e.g. termination, severance, mutual separation, outsourcing arrangements, employment templates. To participate in negotiation and advice and be involved in preparation of documentation for mergers, disposals, restructures, strategic alliances, acquisitions of companies (if any). To participate, assist and liaise with corporate functional departments on key technical service fee agreements, professional consultancy/services agreements, licensing and assignments as well as in dealing with third parties in matters of conict and settlement. To be actively involved in managing potential litigation and ensure that companys interest is protected. To advise and assist the business partners in negotiations with third parties and to assist as appropriate in concluding settlements. To work with external counsel to manage IP enforcement programs. To ensure that all material legal and compliance related issues are approved by in accordance with company's policies and guidelines. To be the Company Secretary and ensure corporate governance of the operations. Development and maintenance of relationships with relevant external contacts and organisations (e.g. external lawyers, lawyers of key customers/competitors, governmental organisations, regulators, trade / industry associations, external bodies etc). Identifying work to be outsourced, selection and management of external lawyers When the event requires the appointment of external lawyers, to instruct external lawyers, manage and liaise with them. To develop and have training programs for non-legal functions on contractual, intellectual property, marketing law issues, where necessary. Establishing a strong business partnership based on trust. The Essential Requirements Law Degree from recognized university in India or Asia Pacic country Admitted as qualied lawyer in India. At least 8-12 years experience post qualication in medium or large private practice (law rm) or MNC (in-house), preferably both. Excellent command of both spoken and written Hindi and English Experience providing legal counsel on a wide variety of corporate/commercial matters. Experience drafting and negotiating agreements. Initiative and creativity in seeking solutions to problems. Ability to work independently and also as part of a diverse team. Strong drive and commitment to deliver results. Strong compliance/commercial experience. Prior FMCG experience will be a plus, but not necessary. Highest ethical standards, promote ethical behaviour and high professional integrity. Excellent interpersonal, organizational and analytical skills Ability to think strategically, take strategic risks and make tough decisions. Lead and manage the India Finance & Accounts function, including Billing, A/R, A/P, GL, Cost Accounting, Inventory Accounting, and Revenue Recognition. Prepare standalone and consolidated financial statements as per Indian GAAP, including multi-country consolidation. Ensure timely month-end and year-end closure of books and financial reporting. Independently handle direct and indirect tax compliances including GSTR1, GSTR 3B, GSTR 9/9C, TDS returns, Transfer Pricing, and SFT returns. Manage statutory audits, due diligence, and regulatory inspections independently. Develop and maintain effective internal controls across financial processes. Coordinate the preparation of budgets, forecasts, and variance analysis with various departments. Prepare comprehensive MIS and financial reports for management on a monthly and quarterly basis. Ensure compliance with MSME regulations, export documentation, and foreign payments. Proactively identify and implement process improvements in financial systems and operations. Manage relationships with tax consultants, auditors, and regulatory authorities. Requirements & Skills Chartered Accountant (CA 1st Attempt preferred) with 2+ years of post-qualification experience in Finance & Accounts. Proven experience as a Financial Controller or Senior Finance Manager, preferably in a D2C or FMCG setup. Proficient in Excel, Tally ERP 9 and SAP. Strong analytical skills and a solid understanding of internal controls. Knowledge of export-related financial procedures and government incentives.
