Panda Law is looking to fill two positions for roles in the Litigation and Disputes and, Corporate M&A teams . These positions are full time and for the NOIDA office, in Delhi. We are looking exclusively for candidates with 1-4 years of experience. The two roles are described below: A. Litigation and Disputes Role Overview: We are seeking to hire an Associate to join our firm with a focus on dispute resolution, civil litigation, and arbitration with exposure to corporate advisory. The role offers an opportunity to work on a diverse range of matters, with active involvement in client management, drafting, strategy, and proceedings before various forums. The Associate will be expected to handle matters end-to-end under the supervision of senior team members, including advisory assignments, managing litigation across India, commercial and contractual disputes, arbitrations, and civil litigation. The position requires excellent drafting skills, strong legal research skills, and the capacity to work on multiple matters in a time-sensitive environment. Key Responsibilities: · Coordinating with clients, senior counsels, local counsels, and authorities to ensure timely progress of matters. · Conducting legal research and preparing detailed case notes, briefs, and updates. · Drafting pleadings, applications, replies, in civil, commercial, and arbitration proceedings. · Assisting in domestic and institutional arbitration matters, including filing and defending claims, applications for interim relief, enforcement, and related proceedings. · Handling litigation matters before Commercial and District Courts, High Courts, Supreme Court and other forums. · Advising clients on legal risks, contractual rights and obligations, and dispute resolution strategies. · Drafting and reviewing, contracts, settlement agreements, legal opinions, notices, and transaction documents as part of corporate advisory work. · Maintaining case records, preparing status updates, and drafting professional correspondence to clients. Candidate Profile: · LL.B. from a recognized university; enrolled with the Bar Council of India. · 1 – 4 years PQE with experience in corporate advisory, dispute resolution, arbitration, and civil litigation. · Ability to handle matters independently · Strong drafting, research, and analytical skills. · Prior exposure to commercial disputes and arbitration (domestic/institutional) is essential. · Ability to manage multiple assignments simultaneously with attention to detail. · Excellent written and oral communication skills; confident in client and counsel interactions. · Proactive and solution-oriented, with the ability to work both independently and in a team environment. B. Corporate M&A Role Overview: We are seeking to hire an Associate for our Corporate and Transactional Practice, who will be actively involved in advising clients on investment transactions, M&A deals, corporate structuring, and general corporate advisory matters. This role offers an opportunity to work closely with founders, investors, and business leaders, assisting them through every stage of a transaction, from structuring and due diligence to negotiation and execution of definitive documents. In addition, the candidate will also be exposed to dispute resolution and litigation matters handled by the firm, ensuring a well-rounded professional experience. Key Responsibilities: · Advising clients on fund raises, investments, mergers and acquisitions, and joint ventures. · Conducting legal due diligence on target entities across sectors. · Structuring transactions, preparing deal timelines, and coordinating with financial, regulatory, and tax advisors. · Drafting, reviewing, and negotiating term sheets, share purchase agreements, shareholders’ agreements, investment agreements, business transfer agreements, draft red herring prospectus, and other definitive documents. · Assisting clients with regulatory filings and approvals with authorities such as RBI, MCA, SEBI, and DPIIT. · Advising on corporate governance, compliance, and post-merger integration issues. · Conducting legal research and preparing client notes, opinions, and strategy documents. · Providing support in commercial and contractual disputes and arbitration matters arising from investment or shareholder relationships. · Maintaining organized documentation and transaction trackers for ongoing deals. Candidate Profile: · LL.B. from a recognized university; enrolled with the Bar Council of India. · 2 – 4 years PQE with experience in Corporate, M&A, Private Equity, and Investment Transactions, dispute resolution, arbitration, and civil litigation. · Strong understanding of company law, FEMA, SEBI regulations, and contract law. · Demonstrated experience in drafting and negotiating transactional documents and conducting due diligence. · Ability to manage multiple transactions simultaneously and work effectively in a team-oriented, fast-paced environment. · Strong drafting, research, and analytical skills. · Exposure to dispute resolution or litigation related to commercial or shareholder matters will be an added advantage. · Excellent written and oral communication skills; confident in client and counsel interactions. · Proactive and solution-oriented, with the ability to work both independently and in a team environment.
