M&A TAX

We are seeking a highly motivated and experienced M&A Tax professional to join our dynamic advisory team. The M&A Tax professional will be responsible for providing comprehensive tax advisory services related to mergers, acquisitions, dispositions, and reorganizations for a diverse range of clients. This role involves deep technical expertise in corporate tax, international tax, and transaction structuring, coupled with strong client relationship management skills. The ideal candidate will have a proven track record in navigating complex tax issues within transactional environments and delivering strategic solutions.

Key Responsibilities:

• Lead and perform M&A tax due diligence reviews for both buy-side and sell-side transactions, identifying potential tax risks and opportunities.
• Develop and implement tax-efficient acquisition, disposition, and restructuring strategies for domestic and cross-border transactions.
• Advise clients on the tax implications of various transaction structures, including stock acquisitions, asset acquisitions, mergers, and joint ventures.
• Prepare and review complex tax models to analyze the financial impact of various transaction alternatives.
• Research and interpret complex tax laws, regulations, and rulings to provide accurate and practical tax advice.
• Draft technical tax memoranda, opinions, and other client deliverables summarizing tax analysis and recommendations.
• Collaborate with financial, legal, and other advisory teams to provide integrated solutions to clients.
• Assist clients with post-acquisition integration, including tax attribute utilization, entity rationalization, and tax accounting matters (e.g., ASC 740).
• Manage multiple client engagements simultaneously, ensuring timely and high-quality service delivery.
• Mentor and develop junior staff, providing guidance on technical tax matters and professional development.
• Participate in business development initiatives, including preparing proposals and presentations to prospective clients.
