Job Brief We are seeking a highly skilled and dedicated Senior Legal Advisor to join our M&A -Capital Markets Team . The role involves providing comprehensive legal and regulatory advisory services to clients across capital markets transactions. Key responsibilities include advising on legal due diligence, investment and acquisition transactions, reviewing and structuring term sheets, and handling complex corporate and transactional matters, including capital raising and public market transactions. The ideal candidate will possess a strong understanding & exposure to capital markets and IPO-related work, and demonstrate the ability to deliver strategic, commercially sound legal advice in a fast-paced, client-focused law firm environment. Duties & Responsibilities Lead and manage capital markets, and IPO transactions from a legal advisory perspective, ensuring seamless execution and high-quality client service. Review, structure, and negotiate term sheets and transaction frameworks , aligning legal structures with commercial objectives and regulatory requirements. Draft, negotiate, and finalise transaction and investment documentation , including offer Documents and ancillary transaction documents Advise and lead capital markets and IPO matters , including Initial Public Offerings (IPOs), Follow-on Public Offers (FPOs), Rights issues, Preferential allotments, Qualified Institutional Placements (QIPs), Private placements Drafting, vetting, and reviewing DRHP, RHP, prospectuses, offer letters, and disclosure documents Advising on SEBI regulations, stock exchange listing requirements, ICDR Regulations, LODR Regulations, and Companies Act compliance Conduct and supervise comprehensive legal due diligence for capital markets transactions, identifying legal, regulatory, and commercial risks and advising on mitigation strategies. Provide legal opinions, structuring advice, and transaction strategy on mergers, demergers, acquisitions, corporate restructuring, fundraising, and public market transactions. Lead client interactions , including advising promoters, investors, listed companies, and institutional stakeholders; managing expectations; and resolving complex transaction-related queries. Act as the primary legal interface with regulators and intermediaries , including SEBI, stock exchanges, RoC, merchant bankers, investment bankers, auditors, registrars, and consultants. Handle and oversee online filings and regulatory submissions with SEBI, stock exchanges, RoC, and other statutory authorities. Advise on pre-listing and post-listing compliances , including corporate governance, disclosure obligations, insider trading regulations, and continuous compliance under SEBI laws. Conduct in-depth legal research on corporate, securities, and commercial laws, regulatory circulars, judicial precedents, and policy developments relevant to transactions. Mentor, train, and supervise junior associates , reviewing their work and guiding them on drafting, negotiations, due diligence, and regulatory interpretation in M&A and capital markets matters. Proactively manage transactions by anticipating regulatory challenges, coordinating timelines, conducting regular follow-ups, and ensuring closure within agreed timelines. Ensure clear, timely, and strategic communication with clients and internal stakeholders throughout the transaction lifecycle, upholding the firm’s quality and risk standards. Education & Certification Qualifications Law degree from an accredited law school. Being a Company Secretary (Preferred) Must Have Qualifications Over 4+ years of relevant experience in Capital Market, with a strong track record of providing strategic legal advice and handling complex legal matters. Excellent negotiation, analytical, research, and communication skills. Proven ability to handle multiple tasks simultaneously and efficiently. High degree of professional ethics, integrity and gravitas Strong drafting skills for contracts, agreements, and other legal documents. High level of accuracy and attention to detail in reviewing, drafting, and analyzing legal documents. Proven ability to handle multiple tasks simultaneously and efficiently.
