The ideal candidate for the role of Assistant Vice President should be a member of the Institute of Company Secretaries of India (ICSI) and possess a Bachelor's Degree in Law (LLB) from a recognized university in India. With a minimum of 10 to 15 years of post-qualification experience, preferably from an Exchange or Broking Firm, the candidate should demonstrate expertise in the following areas: - Organizing and leading Board, Committee meetings, AGM, and EGM of the Company. - Preparation of Board and Committee agendas and Minutes. - Drafting, vetting, and reviewing legal documents, agreements, contracts, MOUs, NDAs, and other relevant documents. - Ensuring compliance with SEBI Regulations, Companies Act, 2013, and maintaining correspondence with SEBI. - Managing corporate governance and overseeing secretarial activities. - Providing legal advice to the management. - Handling fund-raising activities such as Rights Issue, Private Placements, and Preferential Allotment. The key responsibilities of the Assistant Vice President include comprehensive compliance under the Companies Act, 2013, Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Securities Contracts (Regulation) (Stock Exchanges and Clearing Corporations) Regulations, 2018.
