Key Responsibilities: Board Management: Preparing agendas and materials for board meetings and committee meetings. Taking and circulating detailed minutes of board discussions. Managing the flow of information between the board, management, and shareholders. Compliance Management: Ensuring compliance with Companies Act, 2013, RBI regulations, and other relevant laws applicable to NBFCs. Monitoring regulatory updates and advising management on necessary compliance actions. Filing statutory returns and forms with the Registrar of Companies (RoC) and other regulatory bodies. Secretarial Functions: Maintaining statutory registers and records as per legal requirements. Drafting and processing necessary corporate documents like resolutions, share certificates, and shareholder agreements. Handling shares issues, including private placements and public offerings. Legal Support: Providing legal advice on corporate matters, including contract review and drafting. Assisting in legal compliance related to mergers, acquisitions, and corporate restructuring. Liaising with external legal counsel as needed. Reporting and Documentation: Preparing annual reports, board presentations, and other corporate documents. Maintaining accurate records of all corporate actions and decisions. Required Skills and Qualifications: Professional Qualification: Qualified Company Secretary (CS) with active membership from the Institute of Company Secretaries of India (ICSI). Legal Knowledge: Strong understanding of the Companies Act, 2013, RBI regulations, and other relevant laws governing NBFCs. Financial Acumen: Basic understanding of financial statements and financial regulations. Communication Skills: Excellent written and verbal communication skills to effectively interact with board members, management, and regulatory authorities. Attention to Detail: High level of accuracy and ability to manage complex tasks with meticulous attention to detail.
