They act as a key link between the company, its board of directors, shareholders, and regulatory authorities like the Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC). Key Responsibilities: 1. Statutory Compliance: Ensure compliance with the Companies Act, 2013 and other applicable laws. File necessary returns, resolutions, and forms with ROC. Maintain statutory registers (register of members, directors, charges, etc.). Monitor and implement changes in company law and advise directors accordingly. 2. Board and General Meetings: Organize and attend Board Meetings, Committee Meetings, and General Meetings (AGM/EGM). Prepare agendas, minutes, and resolutions. Ensure proper documentation and filing of meeting minutes. 3. Corporate Governance: Advise the board on corporate governance best practices. Support ethical standards and good corporate conduct. 4. Liaison and Communication: Liaise with external regulators, auditors, lawyers, and consultants. Act as the point of contact between the company and government bodies (MCA, ROC, etc.). 5. Record Management: Maintain updated records of shareholding patterns, director details, and company documents. Issue share certificates and manage share transfers (if applicable). 6. Legal & Secretarial Support: Draft legal documents, resolutions, agreements, and policies. Ensure timely renewal of business licenses, approvals, and permits. Required Qualifications & Skills: Qualified Company Secretary (Member of ICSI). Sound knowledge of Companies Act, 2013, and Secretarial Standards. Strong organizational and communication skills. Proficient in MS Office and MCA portal filings. Ability to handle confidential information with integrity. Preferred Experience: 1-5 years of experience in a similar role (freshers with training experience also considered). Experience in handling secretarial functions for private limited companies.
