Role & responsibilities Draft, review, negotiate, and finalize contracts, agreements, MoUs, subcontracts, EPC tenders, and variation orders, ensuring alignment with NCLT/NHAI/MORTH/State Highway standards, risk allocation, and escalation clauses. Manage end-to-end documentation for land acquisition (right-of-way docs, mutation records), vendor/supplier agreements, joint ventures, compliance filings (GST/TDS returns), insurance policies (CAR/PA), performance guarantees, and statutory approvals (BOCW registration, pollution NOC, forest/traffic clearances). Provide legal support to senior management through drafting legal correspondences, serving notices (termination, invocation of bank guarantees), representing in arbitration proceedings, litigation filings, and alternative dispute resolution (ADR) mechanisms under Arbitration & Conciliation Act, 1996. Liaise proactively with external legal advisors, counsel, government departments (RTO, PWD, NHAI, revenue authorities), and internal teams to resolve contractual disputes, claims (time overrun, extra items), insolvency proceedings, and regulatory challenges. Establish and maintain robust record-keeping systems (physical/digital) for all licenses, insurances, statutory documents, project archives, and audit trails, ensuring GDPR/ISO compliance and readiness for client inspections or court/arbitration evidence. Preferred candidate profile Deep expertise in construction contract agreements (lump sum/EPC), IBC (Insolvency & Bankruptcy Code) for vendor recovery, Corporate & Company Law (MCA compliances), Contract Management (from bid to closure), Infrastructure/Construction Law (NHAI Act, RERA implications). Proven knowledge of Litigation (civil courts), Arbitration (institutional/ad-hoc), Dispute Resolution (mediation/conciliation), SEBI & Listing Regulations (for listed infra firms), Banking & Finance Law (loans, BG encashment), Land & Property Law (acquisitions, leases), Asset Management (PPE registers, depreciation). Exceptional liaison and relationship-building skills with government officials, NHAI/MORTH/State Highway engineers, regulatory bodies, and local authorities to expedite approvals, NOCs, and dispute settlements. Superior drafting, legal research, communication, and negotiation skills; advanced proficiency in MS Office Suite, document control systems (DocuSign, Aconex), legal databases (Manupatra), and Excel for contract tracking.
