Key Responsibilities: Corporate Compliance & Secretarial Work: Ensure compliance with the Companies Act and other statutory regulations. Conduct Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs) , including preparing agendas, minutes, and resolutions. Maintain statutory registers and records . File necessary returns, resolutions, and reports with MCA, ROC, SEBI, RBI , and other regulatory bodies. Legal & Contract Drafting: Draft, review, and negotiate contracts, agreements, NDAs, MOUs, lease agreements, vendor contracts, and employment contracts . Draft and respond to legal notices and regulatory queries . Provide legal support for dispute resolution and litigation matters. Funding & Corporate Transactions: Assist in fundraising activities , including due diligence, term sheets, shareholder agreements, and compliance with regulatory approvals. Work on mergers, acquisitions, joint ventures, and private equity transactions . Liaise with investors, legal advisors, and regulatory authorities. Shop Establishment & Business Registrations: Handle the registration and licensing of new business entities, including Private Limited Companies, LLPs, and Startups . Obtain necessary licenses and approvals under the Shops & Establishment Act, GST, FSSAI, etc. Ensure compliance with local business laws and industry regulations. Intellectual Property & Trademark Management: Manage the registration, renewal, and protection of trademarks, copyrights, and patents . Handle legal issues related to intellectual property infringement . Liaise with trademark attorneys and regulatory bodies for IPR filings and compliance . Qualifications & Skills: Educational Qualification: CS (Company Secretary) qualification from ICSI. LLB degree is a plus. Experience: Minimum 5 years of experience in corporate compliance, contract drafting, and intellectual property law. Strong knowledge of Companies Act, FEMA, SEBI, RBI regulations, and IPR laws . Excellent drafting, negotiation, and analytical skills . Ability to work independently and liaise with external legal counsel, government bodies, and investors. Strong attention to detail and the ability to handle multiple tasks efficiently. Preferred Skills: Experience in startup funding, IPOs, venture capital, and private equity transactions . Familiarity with corporate governance frameworks . Knowledge of international trade laws and cross-border transactions .
