Job Title: Company Secretary Location: South Boag Road, T Nagar, Chennai Reports To: Board of Directors Job Summary: The Company Secretary (CS) is responsible for ensuring the company's compliance with legal and regulatory requirements, managing corporate governance, and supporting the board of directors in their duties. The role involves statutory filings, record-keeping, and advising on corporate law matters. Key Responsibilities: 1. Corporate Governance & Compliance Ensure compliance with the Companies Act and other applicable laws. Maintain statutory registers and records (Minutes, ROC filings, Shareholders’ agreements, etc.). Draft board resolutions, minutes, and legal agreements. Organize and facilitate Board Meetings, AGMs, and EGMs. Ensure timely filing of returns and forms with regulatory authorities (MCA, SEBI, RBI, etc.). Advise the board on governance best practices. 2. Regulatory & Legal Compliance Monitor changes in corporate laws and advise the company on implications. Ensure compliance with SEBI (if applicable), FEMA, RBI, and other financial regulations. Liaise with external regulators, auditors, and legal consultants. 3. Secretarial Functions Draft and review contracts, MOUs, and agreements. Ensure proper issuance, transfer, and management of company shares. Maintain corporate records, including shareholding patterns and director details. 4. Risk Management & Ethics Ensure corporate policies align with legal and ethical standards. Implement and oversee risk management strategies. Support the whistleblower and code of conduct policies. 5. Liaison & Communication Act as a point of contact between the board, shareholders, and regulatory authorities. Assist in investor relations and disclosures. Handle corporate communications for compliance-related matters. Qualifications & Skills: Education: CS qualification from ICSI (Institute of Company Secretaries of India). Experience: Fresher to 2 years Skills: Strong knowledge of corporate laws and regulatory frameworks. Excellent communication and drafting skills. Proficiency in legal documentation and contract management. Ability to liaise with regulatory bodies and stakeholders.

The role focuses on strengthening the company’s online presence and achieving business growth through strategic planning and execution. Key Responsibilities: 1. E-Commerce Strategy & Growth Develop and execute comprehensive online sales strategies aligned with business objectives for consumer durables, electronics, and IT products. Drive online revenue growth through category expansion, competitive pricing, and customer-centric digital initiatives. Identify emerging trends in online retail and integrate innovative strategies to enhance brand visibility and profitability. 2. Platform & Operations Management Oversee daily e-commerce operations, including product listings, pricing accuracy, offers, and promotional campaigns. Ensure timely updates of product specifications, images, and availability on the brand website. Coordinate with inventory and logistics teams to maintain stock accuracy, timely order fulfillment, and delivery tracking. Manage relationships with external partners such as payment gateways, logistics providers, and marketplace platforms. 3. Digital Marketing & Customer Acquisition Plan and implement performance marketing campaigns across digital channels (SEO, SEM, Google Ads, social media, and email marketing). Optimize customer acquisition cost (CAC) and maximize return on ad spend (ROAS). Drive engagement through targeted promotions, festive campaigns, and remarketing strategies. 4. Website Experience & Optimization (MANDATORY) Continuously improve website usability, navigation, search functionality, and mobile responsiveness. Implement Conversion Rate Optimization (CRO) and A/B testing to enhance user journey and sales conversion. Integrate personalization features such as product recommendations, chatbots, and customer support automation. 5. Analytics & Business Insights Track and analyze key performance indicators (KPIs) such as website traffic, conversion rates, cart abandonment, and repeat purchase rate. Utilize analytics tools (Google Analytics, Google Merchant Centre, and marketplace dashboards) for actionable insights. Prepare periodic reports on sales trends, marketing ROI, and customer behavior to guide decision-making. 6. Cross-Functional Coordination Collaborate with Marketing, Product, IT, and Retail teams to align online promotions with in-store campaigns. Work with Finance and Accounting teams on reconciliation of online payments, vendor settlements, and promotional expenses. Liaise with Customer Support to ensure timely resolution of customer queries and returns. Required Skills & Qualifications: Experience: 3–5 years of experience as an E-Commerce Manager or in a similar digital/e-commerce role. Technical Expertise: Strong understanding of e-commerce platforms (Ex:Shopify, Magento) Digital Marketing Skills: Proven experience in SEO, SEM, Google Ads, and social media campaign management. Analytical Skills: Proficiency in Google Analytics and other performance tracking tools. Soft Skills: Strong problem-solving, communication, and organizational abilities with an eye for detail. Industry Knowledge: Awareness of CDIT product categories, pricing dynamics, and customer purchase behavior in online and omnichannel environments will be an added advantage.
