Job Title: Semi-Qualified Company Secretary (CS)

Job Summary

Semi-Qualified Company Secretary (CS)

Key Responsibilities

1. ROC & Statutory Compliance

  • Assist in preparing and filing forms such as

    AOC-4, MGT-7, PAS-3, DIR-12, INC-22

    , and other ROC-related filings.
  • Ensure timely compliance under the

    Companies Act, 2013

    and related rules.
  • Support in drafting and maintaining statutory registers, minutes, and resolutions.

2. Board & General Meeting Support

  • Assist in drafting

    notices, agendas, minutes

    , and resolutions for Board and Committee Meetings.
  • Coordinate with directors and stakeholders for meeting-related documentation.
  • Maintain accurate records of all meetings as per secretarial standards.

3. Documentation & Record Keeping

  • Maintain statutory books, registers, share certificates, and other secretarial records.
  • Prepare and manage company-related documentation and compliance trackers.
  • Ensure proper documentation for share transfers, allotments, and related matters.

4. Compliance Monitoring & Reporting

  • Keep track of due dates for various corporate filings and compliances.
  • Assist in annual filings and event-based compliances.
  • Support in conducting secretarial audits and preparing required documentation.

5. Coordination & Support Activities

  • Liaise with external consultants, auditors, and regulatory authorities.
  • Assist in preparing reports, presentations, and other documentation for management.
  • Provide administrative support to the CS and senior management as required.

Qualifications & Skills

  • Semi-Qualified CS

    (completed Executive Programme; pursuing Professional Programme).
  • 13 years of experience in

    ROC filings, secretarial work, or compliance roles

    (preferred).
  • Strong understanding of

    Companies Act, 2013

    , Secretarial Standards, and corporate compliance.
  • Proficient in

    MCA portal

    , MS Office (Excel, Word, PowerPoint), and documentation.
  • Excellent communication, drafting, and organizational skills.
  • Attention to detail with a commitment to accuracy and confidentiality.
