Job Description

Looking for a qualified and experienced Company Secretary to ensure compliance with statutory and regulatory requirements while providing support to the board of directors. The ideal candidate will have a strong understanding of corporate governance, excellent organizational skills, and the ability to work effectively in a dynamic environment. Key Responsibilities: 1. Corporate Governance: Ensure compliance with corporate governance standards and regulatory requirements. Advise the board on their responsibilities and obligations under corporate law and company policies. 2. Board Support: Prepare and distribute board meeting agendas, minutes, and other documentation. Coordinate logistics for board meetings and ensure proper documentation of discussions and decisions. 3. Regulatory Compliance: Monitor changes in legislation and regulatory environment, ensuring the company remains compliant. Prepare and file necessary documentation with regulatory authorities, including annual returns and other statutory filings. 4. Shareholder Communication: Manage communications with shareholders and stakeholders, ensuring transparency and compliance with disclosure requirements. Organize annual general meetings (AGMs) and prepare reports for shareholders. 5. Record Keeping: Maintain corporate records, including the register of shareholders, directors, and company filings. Ensure proper documentation of company policies, procedures, and compliance activities. 6. Advisory Role: Provide legal and compliance advice to the board and senior management. Assist in developing and implementing company policies and governance frameworks. Qualifications: Bachelor s degree in Law, Business Administration, or a related field. Qualified Company Secretary (e.g., ICSA, CGMA, or equivalent) with 5 - 10 years of experience in a similar role. Strong knowledge of corporate law, governance, and compliance issues. Excellent organizational, analytical, and problem-solving skills. Strong verbal and written communication abilities. Preferred Qualifications: Experience in a similar industry (Engineering & Construction). Familiarity with financial regulations and practices. Ability to work independently and collaboratively with diverse stakeholders.
