Job Description

We are looking for a highly skilled and experienced Corporate Governance & Company Secretarial Associate to join our team in Bangalore/Chennai. The ideal candidate will have 3 to 8 years of experience in company secretarial or corporate governance roles.
Roles and Responsibility
  • Prepare and file annual reports and corporate compliance filings for entities within the ICON Group globally.
  • Manage and prioritize workload to comply with filing deadlines.
  • Monitor and report on compliance, ensuring adherence to regulatory requirements.
  • Prepare and circulate board materials and related documentation, including resolutions, contracts, and legal documents.
  • Support drafting and review of resolutions, contracts, and legal documents, ensuring accuracy and completeness.
  • Maintain and update Diligent Entities database and corporate records for ICON Group, ensuring data integrity and confidentiality.
  • Manage team inbox and respond to queries from business units regarding company records and entity details.
  • Prepare and update powers of attorney as requested by different service lines and arrange execution, notarization, and apostille of minutes, powers of attorney, and liaise with government bodies and embassies as required.
  • Liaise with auditors and other professional advisors, manage external advisors, and oversee the invoice process.
  • Support corporate restructuring projects and undertake ad hoc project work, along with other reasonably related duties and administrative tasks as assigned.
  • Perform any other appropriate tasks.
Job Requirements
  • Qualified Company Secretary (ICSI membership mandatory) with a minimum of 3 years of relevant experience in company secretarial or corporate governance roles.
  • Honors university degree preferably in legal, business, or finance.
  • Excellent time management skills with strong organizational abilities and exceptional attention to detail.
  • Ability to work under pressure, manage multiple projects, and deliver high-quality results.
  • Good business and risk awareness skills, with the ability to think strategically, logically, and commercially.
  • Proven team player with demonstrated analytical and communication skills.
  • Strong problem-solving skills with the ability to quickly assess potential risks and opportunities.
  • Self-starter with the ability to work independently with a strong work ethic.
  • Trustworthy, discreet, and tactful when handling confidential and sensitive information.
  • Working knowledge of Microsoft Office Applications (Excel, Word, Windows, etc.). Knowledge of Diligent (Blueprint) Software or similar entity management software is an advantage.
  • Prior experience in a multinational organization, particularly with responsibility for managing corporate compliance across a global portfolio of entities, is advantageous.
