Position Overview We are seeking an experienced and highly skilled Company Secretary to join our Finance Department in Hyderabad. The ideal candidate will ensure that HRV Global Life Sciences Private Limited complies with all statutory and regulatory requirements while providing strategic legal and governance advice to the Board of Directors and senior management. Key Responsibilities 1. Regulatory & Statutory Compliance Ensure timely compliance with all statutory obligations under the Companies Act , SEBI regulations , and other applicable laws. Oversee preparation and filing of returns, forms, and reports with ROC , SEBI , and stock exchanges . Monitor and manage legal compliance calendars to ensure zero lapses. 2. Board & Committee Governance Organize and coordinate Board of Directors and Committee meetings, including drafting agendas, notices, resolutions, and minutes. Advise the Board on corporate governance best practices, legal implications, and statutory requirements. 3. Shareholder & Stakeholder Management Manage shareholder communications, general meetings, and statutory disclosures. Oversee dividend distribution, share transfers, and maintenance of statutory registers. Address shareholder queries with professionalism and accuracy. 4. Corporate Governance Framework Develop, implement, and maintain strong corporate governance policies. Keep management updated on regulatory changes, recommending actions for compliance and governance improvements. 5. Liaison & Regulatory Interface Serve as the key liaison between the company and regulatory bodies such as SEBI, ROC, and stock exchanges. Manage inspections, audits, and official communications with accuracy and timeliness. 6. Record Maintenance & Documentation Maintain statutory records, filings, registers, and corporate documents as per legal requirements. Ensure safekeeping and accessibility of company records, resolutions, and filings. 7. Legal Advisory & Strategic Support Provide legal and compliance advice to management and the Board. Evaluate and mitigate potential legal and compliance risks. Stay informed on emerging regulatory trends impacting listed entities. Candidate Profile Experience: Minimum 7 years of relevant experience as a Company Secretary in a listed company . Qualification: Associate or Fellow Member of the Institute of Company Secretaries of India (ICSI) . Expertise: Hands-on experience with SEBI, ROC, and Stock Exchange filings . Comprehensive knowledge of Corporate Laws , SEBI regulations , and related statutory frameworks. Compliance Acumen: Proven record in managing ROC filings, statutory disclosures, and compliance documentation. Communication Skills: Excellent verbal and written communication to engage effectively with stakeholders at all levels.
