Job Title: Executive/ Sr Executive - Finance (Semi-Qualified) Experience: 2-5 Years Location: Bangalore Industry: BFSI / Fintech / Financial Services Employment Type: Full-Time About the role: We are seeking a highly motivated and detail-oriented Qualified or Semi-Qualified Company Secretary with approximately 2 years of experience, preferably in the BFSI or Fintech sector. The ideal candidate will ensure full compliance with applicable laws and regulatory frameworks, manage corporate governance responsibilities, and liaise effectively with both internal and external stakeholders. Key Responsibilities: Ensure compliance with the Companies Act, 2013 and other applicable rules and regulations. Handle compliance requirements under RBI/FEMA and SEBI LODR regulations, especially for debt-listed entities. Keep abreast of latest updates in corporate laws, SEBI guidelines, and Secretarial Standards. Organize and manage Board Meetings, Committee Meetings, and General Body Meetings across group companies. Prepare and file Annual Returns, regulatory forms, and disclosures under Companies Act and SEBI regulations. Maintain all statutory registers, minutes, and compliance documentation. Manage debt-related compliance including charge creation and satisfaction, and procedures for issuance of NCDs and Commercial Papers. Liaise with internal stakeholders (Board, shareholders, investor secretarial teams) and external stakeholders (Registrars, Depositories, Auditors, Advisors). Provide working knowledge and review support for key agreements such as Shareholders’ Agreements, Subscription Agreements, and NDAs. Key skills: Strong understanding of Company Law provisions applicable to Private Limited Companies. Familiarity with RBI regulations applicable to Banks and NBFCs is an added advantage. Excellent verbal and written communication skills. Strong interpersonal and coordination abilities to manage multiple stakeholders. Ability to handle and prioritize multiple compliance matters in a fast-paced environment. Qualifications: Qualified / Semi-Qualified Company Secretary (CS).
