Job Description

Job Title : Company Secretary Qualification : Member of the Institute of Company Secretaries of India (ICSI) Key Responsibilities : 1. Statutory Compliance & Legal Ensure compliance with Companies Act, 2013, SEBI regulations, Listing Obligations and Disclosure Requirements (LODR), and FEMA. Maintain statutory books and registers (register of members, directors, etc.). File necessary forms and returns with ROC, SEBI, Stock Exchanges, RBI, etc. Manage secretarial audits and other corporate legal matters. 2. Board and Committee Support Organize board, committee, and general meetings including drafting agendas, notices, and minutes. Advise the board on their legal and corporate responsibilities and governance matters. Ensure timely circulation of board documents and decisions. 3. Stock Exchange Compliance Ensure timely disclosures under SEBI LODR regulations. Handle corporate announcements, shareholding pattern filings, insider trading compliance, etc. Interface with stock exchanges and depositories (NSDL/CDSL). 4. Corporate Governance Implement best governance practices and maintain high standards of compliance and ethics. Coordinate and ensure effective communication between the board and shareholders. Oversee insider trading code and whistleblower policies. 5. Stakeholder Management Act as a liaison between shareholders and the company. Coordinate Annual General Meetings (AGM) and other shareholder meetings. Manage dividend distribution, investor grievances, and registrar & transfer agents. 6. Other Responsibilities Handle due diligence and documentation for mergers, acquisitions, or other corporate actions. Maintain updated knowledge of regulatory changes and advise management accordingly. Support ESG disclosures, sustainability reporting, and board evaluations if required. Key Skills & Competencies : Thorough knowledge of corporate laws, SEBI regulations, and listing requirements. Excellent written and verbal communication. Strong organizational and analytical skills. Integrity and the ability to handle sensitive information with discretion. Ability to interact confidently with senior stakeholders and regulators. Preferred Qualifications : Additional qualification in Law (LLB) or Chartered Accountancy is a plus. Experience working in a similar role in a listed or large corporate entity.
