The team at Give is composed of highly passionate individuals from top-tier institutions with decades of corporate experience. **Role Overview:** As a Company Secretary with Give, you will play a crucial role in ensuring compliance with statutory and regulatory requirements for all group entities in India and the US, including for-profit and non-profit entities. You will be an individual contributor within the finance team and may also handle the management of commercial contracts with clients and vendors, particularly if you have a background in legal contracts. **Key Responsibilities:** - Handle compliance across geographies (India and US) and for-profit / non-profit entities. - Maintain a compliance calendar covering various statutory requirements in India and the US. - Coordinate with tax and regulatory advisors internally and externally to ensure timely compliance. - Assist in board meeting preparations, including agenda creation, paper preparation, and follow-up on action points. - Manage company meetings, draft resolutions, and lodge necessary forms and returns. - Stay updated on policy, regulatory, and statutory changes affecting the organization. - Maintain statutory books and legal documents. - Draft, review, and advise on simple client and vendor contracts; refer complex contracts to legal counsel. - Manage the legal contracting process, maintain document repositories, and ensure compliance. **Qualifications Required:** - Company Secretary with a minimum of 2 years of experience. - Bachelors degree in accountancy, finance, business management, or law preferred. - Prior exposure to commercial contracts is advantageous. - Willingness to learn and adapt to a changing compliance environment. - Strong administrative skills and proficiency in compliance software. - Excellent communication and interpersonal skills. - Ability to handle confidential information with discretion. - Confidence to support senior executives and board members. - Experience working with client and vendor counterparts for commercial contracts.
