Job Purpose:

Key Responsibilities:

Regulatory Compliance:

·       Ensure compliance with the Companies Act, 2013

ROC filings

SME/Mainboard IPO

Board & Committee Support:

·       Organize and facilitate Board Meetings

Corporate Governance & Advisory:

·       Monitor changes in legislation and update policies accordingly.

·       Provide legal, financial, and strategic advice during and outside meetings.

·       Liaise with regulators, auditors, and legal advisors.

Secretarial Records:

·       Maintain statutory registers (members, directors, charges).

·       Ensure safekeeping of incorporation documents and legal records.

Shareholder Relations:

·       Manage share transfers, dividend distribution, and investor communication.

·       Coordinate with Registrar & Transfer Agents

Required Skills & Qualifications:

Education:

Qualified Company Secretary (CS)

Law or Finance

Experience:

3–7 years in corporate secretarial roles, preferably in manufacturing or listed companies

Technical Knowledge:

·       Companies Act, SEBI Listing Regulations, FEMA, IBC.

Exposure to IPO processes and valuation services.

·       Soft Skills:

Strong communication

·       Attention to detail and ability to work with senior leadership.
