1. Preparation of financial models and providing support for bidding of PPP projects.
2. Support during post-bid negotiations.
3. Incorporation of the SPV as per tender terms after receipt of the award.
4. Coordination with consortium partners (in case of consortium bids).
5. Preparation and periodic updating of financial models.
6. Identification of lenders/appointment of a debt syndication agency for financial closure.
7. Addressing queries raised by prospective lenders or the debt syndication agency.
8. Appointment of TEV Consultant, submission of required information, and obtaining the TEV Report.
9. Appointment of Rating Agency, submission of required data, and obtaining the Rating Report.
10. Negotiation with lenders to modify specific conditions, if necessary, after receipt of sanctions.
11. Involvement in equity raising for SPVs.
12. Appointment of Lenders Legal Counsel (LLC) and coordination for Legal Due Diligence.
13. Review and negotiation of financial documents with LLC for necessary modifications.
14. Completion of financial documentation.
15. Creation of security as per the terms of sanction letters.
16. Fulfilment of pre-disbursement conditions.
17. Completion of requirements for the first disbursement.
18. Submission of disbursement requests to lenders.
19. Submission of monthly progress reports to lenders.
20. Submission of utilisation certificates duly certified by auditors.
21. Appointment of Project Monitoring Agency (PMA) / Lender’s Engineer (LE) for quarterly reporting.
22. Coordination with PMA / LE, facilitating their site visits, and submission of their reports to lenders.
23. Obtaining certificates from PMA / LE for each disbursement.
24. Providing information to the rating agency for annual surveillance.
25. Payment of interest and loan instalments to lenders.
26. Correspondence with various stakeholders including Lenders, Clients, PMA/LE, and Rating Agencies.
27. Maintenance of a separate set of books of accounts for each SPV.
28. Preparation of MIS reports for management.
29. Finalisation of accounts and coordination with auditors.
30. Filing of necessary tax returns.
31. Monitoring compliance with labour laws in the project.
